1. Parties and Agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and ArchDoc ("ArchDoc", "we", "us") governing your access to and use of theArchDoc platform and related services available at https://archdoc.dev (the "Service").
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
2. Eligibility
You must be at least 16 years of age to use the Service. By using the Service you represent that:
- You are at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher).
- Your use of the Service does not violate any applicable law or regulation.
- You are not located in a country that is subject to a U.S. Government embargo, or that has been designated a "terrorist-supporting" country.
- You are not listed on any U.S. Government list of prohibited or restricted parties.
3. Accounts and Registration
- You must provide accurate, current, and complete information when creating an account and keep it updated.
- You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
- You must notify us immediately at contactarchdoc@gmail.com if you suspect unauthorised access to your account.
- You may not share your account with others or allow multiple individuals to access the Service through a single account.
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Subscriptions and Payments
4.1 Plans
ArchDoc offers Free, Base, and Premium subscription plans as described on our pricing page. Features and limitations of each plan are subject to change with notice.
4.2 Billing
- Paid subscriptions are billed on a recurring monthly or annual basis depending on the plan you select.
- All fees are stated in US Dollars and are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for paying all applicable taxes.
- Payments are processed by our third-party payment processor. By providing payment information you authorise us to charge the applicable fees.
4.3 Refunds
All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement with ArchDoc. EU and UK consumers have a statutory 14-day right of withdrawal for digital services, which is waived upon first use of the paid features.
4.4 Price Changes
We may change subscription prices at any time, but will give you at least 30 days’ advance notice before any price change takes effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will continue to have access to paid features until that date.
5. User Content
5.1 Ownership
You retain all intellectual property rights in content you create or upload to the Service ("User Content"). ArchDoc does not claim ownership of your User Content.
5.2 Licence to ArchDoc
By submitting User Content to the Service, you grant ArchDoc a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (solely for formatting purposes), transmit, and display your User Content as necessary to provide and improve the Service.
5.3 Prohibited Content
You must not submit User Content that:
- Infringes any third-party intellectual property, privacy, or other rights.
- Is unlawful, defamatory, harassing, abusive, fraudulent, or obscene.
- Contains malware, viruses, or any malicious code.
- Violates any applicable law or regulation.
5.4 Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it.ArchDoc does not endorse and has no control over User Content.
6. Acceptable Use Policy
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems.
- Circumvent, disable, or interfere with security-related features of the Service.
- Use automated tools (bots, scrapers) to access the Service in a manner that imposes an unreasonable load on our infrastructure, unless expressly permitted by our API terms.
- Impersonate any person or entity or misrepresent your affiliation.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit spam, phishing messages, or unsolicited bulk communications.
- Resell or commercially exploit the Service without our written consent.
7. GitHub Integration
The Service integrates with GitHub via OAuth. By connecting a GitHub account you authorise ArchDocto access and interact with your GitHub repositories as described in the authorisation prompt and our Privacy Policy. You remain solely responsible for ensuring you have the right to connect any repository to the Service.ArchDoc is not affiliated with GitHub, Inc.
8. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ArchDoc and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ArchDoc.
9. Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING EU/UK CONSUMER PROTECTION LAWS), WE DISCLAIM ALL WARRANTIES. NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER UNDER APPLICABLE LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCHDOC, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ARCHDOC IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW, INCLUDING UNDER EU/UK CONSUMER PROTECTION LEGISLATION.
11. Indemnification
You agree to defend, indemnify, and hold harmless ArchDoc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.
12. Term and Termination
- These Terms are effective from the date you first access or use the Service and continue until terminated.
- You may terminate your account at any time through your account settings or by emailing contactarchdoc@gmail.com.
- We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.
- Upon termination: (a) your right to access the Service ceases immediately; (b) we may delete your data in accordance with our Privacy Policy; (c) provisions that by their nature should survive termination will survive, including Sections 5.1, 8, 9, 10, 11, 13, and 14.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
For US users: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
For EU/EEA users: Nothing in these Terms limits your right to bring proceedings before the courts of your country of residence or to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
For UK users: Nothing in these Terms limits your right to bring proceedings before courts in England and Wales or your local courts in Scotland or Northern Ireland.
14. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ArchDoc regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
- Force majeure: ArchDoc shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.
- Modifications: We may update these Terms at any time. We will provide at least 30 days’ notice of material changes via email or a prominent notice on the Service. Continued use after the effective date constitutes acceptance.
